Terms of Service

1. Introduction

CapFlow is share management software developed and licensed by TAGPROJECTS. These Terms of Service govern your use of the CapFlow platform. CapFlow is rented or licensed by companies (the "Tenant") to manage their own shareholding data, shareholders, and related operations. By using CapFlow, you agree to these terms.

2. Software-as-a-Service

CapFlow is provided as a software-as-a-service (SaaS) platform. Companies rent or license the platform from TAGPROJECTS and use it to manage their own share capital, shareholders, transactions, documents, and related data. The Tenant company is responsible for how they configure and use the platform.

3. Limited Liability

TAGPROJECTS provides the CapFlow software only. TAGPROJECTS is not liable for:

• Data accuracy, loss, corruption, or unauthorised access
• Actions, decisions, or omissions made by the Tenant company or its users
• Third-party services, integrations, or infrastructure used by the Tenant
• Any business, financial, or legal outcomes arising from use of the platform
• Downtime, errors, or interruptions beyond TAGPROJECTS's reasonable control

To the fullest extent permitted by law, TAGPROJECTS's liability is limited to the fees paid for the service in the twelve (12) months preceding the claim.

4. Data and Database

The database and all data stored within CapFlow are managed by the Tenant company, not TAGPROJECTS. TAGPROJECTS does not host, control, or have access to the Tenant's database. The Tenant is responsible for their own data backup, retention, security, and compliance. TAGPROJECTS provides the software interface and functionality; the Tenant or their chosen infrastructure provider is responsible for the underlying data storage and management.

5. Acceptable Use

You agree not to use CapFlow to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malicious code, spam, or harmful content
• Attempt to gain unauthorised access to systems or data
• Use the platform for any purpose other than lawful share management

TAGPROJECTS reserves the right to suspend or terminate access for violations of these terms.
