1. Introduction

These Terms of Service (“Terms”) govern access to and use of the CapFlow platform (“CapFlow”), a software solution developed and provided by TAGPROJECTS.

CapFlow is a Software-as-a-Service (SaaS) platform licensed to companies (“Tenants”) to manage equity, shareholders, stakeholder data, and related corporate operations.

By accessing or using CapFlow, you agree to be bound by these Terms.

2. Definitions

  • “TAGPROJECTS” refers to the software provider and owner of CapFlow
  • “CapFlow” refers to the platform, including all features, tools, and services
  • “Tenant” refers to the company or organisation that licenses or rents CapFlow
  • “User” refers to any individual accessing CapFlow under a Tenant account
  • “Data” refers to all information entered into or processed within CapFlow by the Tenant

3. Software-as-a-Service (SaaS)

CapFlow is provided as a hosted or deployable SaaS platform.

TAGPROJECTS:

  • Grants Tenants a limited, non-exclusive, non-transferable license to use CapFlow
  • Does not sell the software or transfer ownership
  • May update, improve, or modify the platform at any time

The Tenant is solely responsible for:

  • How the platform is configured and used
  • Managing users and access permissions
  • Ensuring lawful use of the platform

4. Data Ownership and Responsibility

All Data within CapFlow belongs to the Tenant.

TAGPROJECTS:

  • Does not own, control, or claim rights over Tenant Data
  • Does not use Tenant Data for any purpose other than providing the service (where applicable)

The Tenant is responsible for:

  • Data accuracy and integrity
  • Data backups and retention
  • Compliance with applicable data protection laws (e.g. POPIA)
  • Securing access to their environment

5. Hosting and Infrastructure

Depending on the deployment model:

  • The Tenant may host their own database or use a third-party infrastructure provider
  • TAGPROJECTS is not responsible for infrastructure failures outside its direct control

Where TAGPROJECTS provides hosting or technical support, it does so on a best-effort basis without assuming control over Tenant Data.

6. Acceptable Use

You agree not to use CapFlow to:

  • Violate any applicable laws or regulations
  • Infringe intellectual property or privacy rights
  • Upload or distribute malicious code or harmful content
  • Attempt unauthorised access to systems or data
  • Interfere with the platform’s performance or security

TAGPROJECTS reserves the right to suspend or terminate access for violations.

7. Intellectual Property

CapFlow, including all software, design, features, and content, is the exclusive property of TAGPROJECTS.

You may not:

  • Copy, modify, or reverse engineer the software
  • Resell or redistribute CapFlow without permission
  • Use CapFlow to build a competing product

The Tenant retains ownership of its own Data.

8. Service Availability

TAGPROJECTS aims to provide a reliable and continuous service but does not guarantee:

  • Uninterrupted availability
  • Error-free operation
  • Immediate resolution of issues

Downtime may occur due to:

  • Maintenance or updates
  • Infrastructure or third-party failures
  • Events beyond reasonable control

9. Disclaimer of Warranties

CapFlow is provided “as is” and “as available”.

TAGPROJECTS makes no warranties, express or implied, including:

  • Fitness for a particular purpose
  • Accuracy or reliability of outputs
  • Suitability for legal, financial, or investment decisions

Use of CapFlow is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, TAGPROJECTS shall not be liable for:

  • Loss of data, profits, or business opportunities
  • Indirect, incidental, or consequential damages
  • Decisions made based on platform data
  • Security breaches outside TAGPROJECTS’s control

TAGPROJECTS’s total liability is limited to the fees paid by the Tenant in the twelve (12) months preceding the claim.

11. Indemnification

The Tenant agrees to indemnify and hold harmless TAGPROJECTS from any claims, damages, or liabilities arising from:

  • Use of the platform
  • Violation of these Terms
  • Breach of applicable laws
  • Misuse of Data or user information

12. Suspension and Termination

TAGPROJECTS may suspend or terminate access if:

  • These Terms are violated
  • The service is misused
  • Required by law

The Tenant may terminate use at any time.

Upon termination:

  • Access to the platform may be revoked
  • The Tenant remains responsible for securing and exporting their Data

13. Changes to the Service or Terms

TAGPROJECTS may:

  • Modify or discontinue features
  • Update these Terms at any time

Updated Terms will be published with a revised date. Continued use of CapFlow constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes arising shall be subject to the jurisdiction of South African courts.
